Number of shares: 5,512,000 flow-through common shares
Purchase price: 40 cents per common share
Number of hidden placees: 33 placees
Agent: Northern Securities Inc.
Agent'sfee: Northern Securities will receive $154,336 in cash and 330,720broker's warrants. Each broker's warrant may be exercised at a price of35 cents per warrant for a 12-month period following the closing of theprivate placement. Each warrant comprises one common share and onecommon share purchase warrant with an exercise price of 40 cents pershare for a 24-month period following the closing of the privateplacement.
