The current Stormont position has increased over time as a result of interim financing
provided by Stormont since early 2005 to fund PharmaGap’s operations. The reduction in
its holdings announced in this filing will bring the level of Stormont’s holdings in
PharmaGap to the level originally intended both by Stormont and by the Board of
PharmaGap. The reduction will also contribute to Stormont’s capacity to support
PharmaGap in the event that further interim financing is required in the future.
