9. It is understood by ICS that the deemed value on an undiluted basis of Goldbelt should be equal to at least CAD $2,500,000 being a deemed value of $0.35US per share based on its existing undiluted and unconsolidated capital structure. 

 

How does that make sense if there is 36 million shares outstanding?
