On this July 4th holiday weekend you have managed to out do even poor old Shnepps by posting one of the most obtuse comments ever. "Why pay $79M when the whole company can be had for $40-45M"
If you truly believe that the current market cap of every company is an accurate value,you in fact are (ironically) one of the financial sheep.
Irrespective of share price,in a take over/buy out scenario,a company's value is based on whatever the buyer or seller deem. I sense that Phantom understood that GRB insiders/large shareholders would laugh at a $40-45M offer,and thus put out something to see what the reaction might be.
Including probably checking out various "Chat rooms" to ascertain how us minions are reacting to their offer. I remember years ago a manager of a brokerage firm telling me "the Market never lies"
I then asked him"was the market right 2 weeks ago when Bre-X was over $100/share,or today when it is $10" 
If you really are curious as to "Why would Phantom bid $79M for Sage etc" why don't you call and ask them. I am sure they would enjoy examinig your thoughts/recommendations. If your lucky they may even offer you a position in their firm.If they do,you could honestly tell your loved ones that you are moving to "greener" pastures. Don't worry about their future because Shneppsy is available to take your position. If you don't get an offer from Phantom you can still improve your finances by releasing that song that you wrote for your darling " I will always love Ewe"
