GREENBRIAR MOVES TOWARDS CLOSING REGIONAL REAL ESTATE NETWORK

August 8th, 2022 – Newport Beach, CA – Greenbriar Capital Corp. (“Greenbriar”) The Company is in the final stages of a formal binding offer to purchase an entire regional real estate franchise network (“Agency”). The purchase will have the sales, revenues, and net profits consolidate into a Greenbriar subsidiary. 

The revenues we propose to buy, consists of the franchise ownership of 2,000 agents+, comprising USD $7.1 Billion of real estate sales and about USD $104 Million of consolidated commission income. This would have a major impact on the valuation of Greenbriar Capital Corp. Benefits to the real estate agency would be the merging into a public company, where the value of the merged company assets is far greater than the current share value, making this an accretive acquisition for both parties. The purchase price of the Agency is currently confidential, but can either be financed by bank loan for the full price, or common shares at a much higher market price (CDN $5.00), preferred shares, or any combination of the above. The Agency’s CEO would become the Co-Executive Chairman, and Jeff Ciachurski will remain CEO of the merged entity. The agency’s executives would become part of the merged entity. A news release will be issued upon closing to purchase. 

The Agency’s desire is to stay competitive in the brokerage business and to promote as a value-add, agent participation in the public stock and direct participation in real estate asset growth.

If and to the extent that the acquisition is made through common shares, you bassicaly confirm that the actual value of the common shares is way higher than the current share price on the open market. Whether the deal ias such s a good deal will depend on the price that is paid for the real estate agency...

Is the $104M in consolidated commission revenue before or after KW gets their franchise fees, royalties,etc. paid? Has KW approved this agreement? Quite the statistical difference of Keller Williams Forward Living between 2020 and 2021 as shown in the below link -  https://www.rismedia.com/power-broker/keller-williams-forward-living/ "The company reports 1405 agents with 4 offices in 2021, as compared to 2102 agents across 8 offices in 2020."  Now only four offices and 700 less agents. Just wanted to check and see what the stock value of Compass Inc. (COMP:NYSE) is trading like seeing as this is what GRB and Forward Living are trying to acheive accretive value is the increase value assosciated with going public. One year high was August 13th 2021 at $17.70 with a low last month of $3.31. Current share price trading @ $4.57 Compass opened their IPO @ $20 in April 2021. Not ...more

I say Very Good, less agents,less office's and better sales per agent! Someone is doing it right! your commissions are paid on the gross volume! Hoping they keep up volume with less agents

Although I  have not made any money in four years or so,I have felt like I am a part of a yet to be built successful co.,because I have been kept informed of an ambitious plan to transform meager assets into a substantial enterprise.
