I hate to point this out, I was wrong at first.
Our cash offer is partially based on the market price od ELD.
The cash portion is caped at $129 million and will be prorated as to how many ckoose cash the rest will be paied out in shares. From hobspts post 3 options, read the fine print
ELD offer:
(i) 0.2425 ELD share - SUBJECT TO PRO RATION
(ii) $1.2125 Cash - SUBJECT TO PRO RATION
(iii) 0.18188 ELD share plus $0.30313.
Maximum amount of cash paid by ELD is $129 million. So everyone can't pick door #2 as you get pro rated and will be forced more ELD shares.
Option #3 seems to drive relative prices.
