During 2011, the Company began negotiations to structure its entrance into the Asian market. In
February 2012, the Company announced the proposed structuring of its first Asian operating entity
and the formation of a joint venture in Asia. In the proposed structuring of this joint venture, the
Company will subscribe for a 60% equity interest in a Bermudan company for nominal
consideration. The balance of the equity in this Bermudan company will be owned, as to 20%, by
a company affiliated with the Company’s largest shareholder and as to 20%, by an arm’s length
party. The Bermudan company would own 100% of the Asian operating entity which in turn
would have a 49% equity interest and a 70% economic interest in the joint venture in Asia. The
finalization of the agreements is subject to the completion of all due diligence and satisfaction of
other customary conditions.
