The board has resign, how can they appoint?

The press release mentions that each member of the board has tendered his resignation.
I have read somewhere that if a board member resigns, that member cannot vote unless he/she is re-instated as a board member. 

How can a new director be appointed by the board if its directors are not allowed to vote because they just resigned?
any thoughts/comments?

If they did it vefire the resignation.

Indeed, I rectified it but seems didn't work. If they did it before the resignation. They could have take action and then resign.

Interesting, I wonder if a director who is under "minority vote" is allowed to vote a new board member? thinking about it, perhaps a better solution would be for an interim director who will assess each resignation to be appointed by an independant body, and who would be accepted by NKL28 management and also by Pelham. Otherwise we will always be in this conundrum of "yes of course ...more
