NOTICE IS HEREBY GIVEN that the annual and special meeting (the "Meeting") of shareholders of Snipp Interactive Inc. (the "Corporation") will be held at 6708 Tulip Hill Terrace, Bethesda, MD, 20816, on Friday, the 15th day of December, 2023, at 10:00 am. (Eastern time) for the following purposes: (a) to receive the audited financial statements of the Corporation for the years ended December 31, 2022 and 2021, together with the report of the auditor thereon. (b) to fix the number of directors at seven; (c) to elect directors for the ensuing year; (d) to appoint the auditor of the Corporation for the ensuing year and authorize the directors to fix its remuneration; (e) to consider, and if thought appropriate, to pass, with or without variation, an ordinary resolution (the text of which is disclosed in the accompanying management information circular of the Corporation dated October 30, 2023 (the "Circular")) approving the fixed number stock option plan of the Corporation (the "Option Plan"), substantially in the form attached as Schedule "A" to the Circular, as required by the TSX Venture Exchange (the "Exchange"), and as more particularly described in the Circular; (f) to transact such further or other business as may properly come before the said Meeting or any adjournment or adjournments thereof.
