JDM has indirect control and direction over 2,650,790 common shares of Solomon (the
“Shares”), 187,301 options to purchase units (the “Units”) comprised of one share and
one warrant, and 4,076,184 warrants to purchase shares (the “Warrants”) representing
approximately 34.54% of the outstanding Shares on a partially diluted basis.
