The offer is worded like that to confuse retail so that they don't see what a stupid deal it is. Read slowly:

Each Debenture Unit,...will consist of: (i) one 12.0% secured convertible debenture (each, a "ConvertibleDebenture"); and (ii) 20,000 common share purchase warrants of the Company (the "Warrants").

The principal amount of each Convertible Debenture (not the warrants, the debenture) will, at the option of the holder, be convertible, for no additional consideration, into Common Shares at a conversion price equal to: (i) $0.05,...

Who's laughing now. I'm not - it's not funny. I'm loaded up with this too, and I don't like it. I'm just glad to get my average down to .0533.
