Because that is what they are worth. They have an value, someone below mentioned arbitrage. That is another reason. On the last day they are either exercisable or sellable. I'm guessing the company is obliged to buy them back. Or maybe they are exercisable on the second to last day but have to be sold on the last? Can't remember how it was explained to me.

Americans cannot exercise the warrants, only sell them later to the market.

I completely disagree with Skier, The Maximum the warrants will ever trade below the SP is -.35c. Right now they are only trading on their time value, like options this value partly depends on volatility. I think for the next few months they should track between .10-.20c below the common.
