Frost got into trouble with the SEC and can no longer buy penny stocks. So, perhaps this includes exercising warrants? Could this be why TLT had to do this last minute financing? Cuz Frost couldn't help finance any longer? More speculation....

Seems to me that Frost got in trouble with the SEC which regulates US markets, not Canadian markets.  The warrants don't trade in the US, although the stock does.  If he wanted to exercise his warrants, he could simply buy stock on the Canadian exchange through his Canadian account, assuming he has one.

Yep, all of this is true. I wasn't thiking. He does have that Cad entity, otherwise there was o way he could have been shorting/exercising as a US based investor.
