Agreed. I'm trying to get a handle on how it will effect rev and margins.. if they only make 2-3 million a year ebitda due to wanting Quebec rev, then we are close to fairly valued.

My guess is that Quebec will continue to produce declining numbers in hours billed. The other parts will show stability and modest growth.

What is this $1.4m in non-recurring expenses.. is that not the point of "Adjusted EBITDA", to adjust for 1x non-recurring expenses? Seems largely related to transaction expenses.

Earnouts of up to an additional $6M on that acquisition. You also need to consider the debt heavy balance sheet. IMO no more room for growth without issuing any stock, leverage ratios are quite high ...more
