RE: Great discussion going on here...I'll add my approval of the deal....for most of the reasons already stated by others...and add the following re: coach's response to the "right of refusal" issue...
of course, one would need to see the agreement between the two entities, but as a matter of general course, many (arguably most right of first refusal clauses) provide that either the proposal has to be first brought to the other party before being shopped to another partner.....or....the can can shop for any deal and when they have a firm commitment of terms, they take it to Hor and they can meet those terms and take the deal or decline and we can go ahead with a different partner...in other words...well drafted, such a clause does not dictate that good projects will be necessarily be stalled because the major has too much on its plate....it would certainly be interesting to know what the terms of the right of refusal is here because the devil is, as they say, always in the details...maybe one of you folks on first name basis with the management can find that out!
