7.4   Restructuring Transaction

If it appears to the Purchaser, acting reasonably, that obtaining the. Regulatory
Approvals may be delayed or frustrated for any reason and that such Regulatory Approvals could
be obtained, or obtained more expeditiously, if the Arrangement Transaction were restructured,
the Vendor agrees upon the written request of the Purchaser to cooperate with the Purchaser in
effecting such restructuring provided that such restructuring does not adversely affect the
Vendor's Indefeasible Right of Use in the Purchased Assets or adversely affect the . Vendor's
right to use the Purchased Assets if this Agreement is terminated and such restructuring .shall be
at the cost of the Purchaser.
