WM – what youhave so conveniently pointed out is in fact one of the major issues withcorporate governance today and in my opinion destroying the reputation andintegrity of the developed worlds equity markets.

 

Corporate governanceis a total shame – Board of directors are suppose to protect shareholders andkeep mgmt in check.  However in the realworld mgmt place puppet boards of directors that will panda to their monetaryneeds.  Shareholders do not interview theboard of directors nor do they actually suggest candidates- however shareholdersdo vote at the AGM– so as long as mgmt are appointing puppet BOD then itsextremely difficult to over throw this regime – the corporate governancestructure needs serious revamping.  This ismajor insidious cancer that’s destroying our free market

 

The onlytrue and fair way to decide on remuneration is via an annual ballot at the AGM.

 

Ok so theBOD is who we have to remove first – PG will just appoint some other puppetBOD.  It’s deliberately designed thisway.   If expressing our displeasure tothe BOD is what we have to do then lets aim for this – we can always try andvote them out all together – at least that might send a good message andencourage them to work in the interests of shareholders
