"The Defendant (Teuton) represented to the Plaintiff (American Creek) (a) inter alia, by way of public news releases, that the Plaintiff holds a 51% interest in the Property; and further, or alternatively, (b) orally on or about 16th December 2009, at a meeting between the Defendant's President and Plaintiff's Chief Operating Officer, first, that the Defendant had reviewed the documents previously submitted by the Plaintiff to the Defendant to demonstrate that the Plaintiff had made exploration expenses on the Property of more than $5,000,000 before December 2009, and, second, that the Defendant had no reason to question that such expenditures had been made."
