5F09A, I read the document, the date of the first sale was the same date the Cdn. PP closed, Oct. 30, 2012.

It does appear however to be a Red Herring. Just a Form D Notice of Exempt Offering of Securities allowing Dundee to place a portion of the Canadian offering to accredited U.S investors without the need for filing a prospectus.
