I am the registered holder of common shares representing not less than five per cent of the issued common shares in the capital of Solid Gold Resources Corp. (the "Company") that carry the right to vote at the meeting to be held on April 25, 2013, and am submitting the following proposal pursuant to section 99 of the Business Corporations Act (Ontario):
RESOLVED that Andre Tanguay, Ronald Goldsack, Gary Schellenberg and Robert Grossman be put forward as a nominee slate of directors at the meeting to be held on April 25, 2013.

STATEMENT IN SUPPORT OF PROPOSAL
My name is Andre Tanguay, and I am co-founder and a former director and Vice-President of Exploration of Solid Gold Resources Corp. (the "Company"). I hold approximately 7% of the Company’s issued common shares. I have grave concerns about the current management of the Company, which you may share. I requisitioned a shareholders' meeting on December 12, 2012 to replace the existing board of directors except for Robert Grossman with myself, Ronald Goldsack and Gary Schellenberg. Collectively, we bring experience in the capital markets and in the mining industry that will be invaluable to the Company, and I am confident that together we can get the Company back on track.
I have been involved in the exploration industry since the 1970s, including exploration projects in the Northwest Territories, Alberta, and, since 1980, in the Timmins, Ontario "Porcupine Camp" world-class gold fields. My work there, in collaboration with the late Dr. John Kirwan, one of the leading experts on this area, led us to explore the exciting potential of southern Lake Abitibi. In order to further this work, I co-founded the Company in 2007 and acquired a large block of claims – now known as the Company's Lake Abitibi property.
Ronald Goldsack is a former director of Goldcorp Inc. (G:TSX), and has experience in all aspects of junior mining company operations. In addition, he has held management positions in a number of investment and financial services advisory firms over a period of more than 30 years, including being a co-founder, Vice Chairman and director of Gordon Capital for approximately 28 years after which he was a partner at Griffiths McBurney and Partners (GMP) for 3 years.
Gary Schellenberg is currently the CEO, President and a director of TNR Gold Corp. (TNR:TSXV), and also the President of Coast Mountain Geological Ltd., a company involved in geological and mineral exploration consulting. He has been involved with the management of public resource based companies for over 21 years.
