It is trading at 1.04 for a couple reasons - 

1. No one would buy it (and pay commission) for 1.07 when they will get back 1.07
2. The deal is not closed and there is a chance it may not close (although with the very small spread between deal price and market price, the market thinks this is a done deal)
3. Many types of investors are happy to capture the spread (in this case 3 cents per share before costs - call it 2.8%) for buying the stock and holding it for a couple months

Not sure what you mean about insider info leaked.  The stock didn't pop till after the announcement.
