Sheldon is considered an insider based on the % of shares that he owns or has control over, not because he has any control over the direction of the company or has access to inside information. He would not be subject to the same conditions as other.

This position will change after the next AGM when PTK brings over Pinetree's M&A guy Richard Patricio. After this point, Pinetree and Sheldon will be under the blackout.
