The agreement will passVery few company proxy votes aren't approved even when there is a perception of a deal being bad. I remember 10-15 years ago when Clear Channel wanted to acquire AMFM Inc. It was a bad deal and when the deal was proposed, Clear Channel dropped about 15%. Still, the deal was approved by 82% of the votes.
A few people have voted 'NO' because they are pissed at the company which is a stupid reason if you are investing money.
