  1. The Issuer came to a mutual understanding with a private fintech company on the general terms that would govern an agreement whereby the Issuer would acquire an exclusive license to commercialize a fintech solution in China. Although no formal agreement was reached at the time of the filing of this monthly progress report, a draft agreement was being prepared and was expected to be available for review by the parties within days of the filing of this report.

    As an agreement to acquire the rights to a fintech platform that facilitates commercial lending seemed imminent, the Issuers Chinese operating subsidiary, Asia Synergy Technologies (AST), began the process to prepare an application for an Internet Content Provider (ICP) license that would allow said fintech platform to be deployed in China.

    As the signing of the official agreement to acquire the Chinese commercial rights to the fintech platform and obtaining the ICP license by AST would represent material events for the Issuer, the Issuer plans to publicly disclose these events when they occur through the issuance of news releases.

    AST also saw a pickup in activities on Gold River during the period with the return to normal operations following the Chinese New Year holiday.

  2. Provide a general overview and discussion of the activities of management.

    Most notably during the period, the Issuers management continued to discuss the terms and conditions that would allow the Issuer to obtain the Chinese rights to a commercial lending fintech platform. In anticipation of an eventual agreement for the rights to the fintech platform, management also began working with ASTs management during the period to set the ground work for the introduction of the commercial lending fintech solution in China.

To follow up on the introduction of the Issuer to members of NAI Interactive Ltd, through a CEO Q&A interview, members of the Issuers management team made plans during the period to attend and present at the Global Chinese Financial Forum (GCFF) to be held in Vancouver on April 22, 2017. The GCFF (https://www.gcff.ca/) is a conference organized by NAI Interactive aimed at matching investors of Chinese origin with Canadian investment opportunities in certain high-growth potential sectors. The Issuers management is of the opinion that presenting at the GCFF will be a great opportunity to not only promote ASTs current operations with the Gold River platform, but also to introduce this new audience to the potential of its new fintech solution to be introduced to the Chinese credit and lending industry later on this year.
