RELEVIUM TECHNOLOGIES INC. NOTICE OF ANNUAL GENERAL AND SPECIAL MEETING OF SHAREHOLDERS NOTICE IS HEREBY GIVEN that the annual and special meeting (the “Meeting”) of shareholders of Relevium Technologies Inc. (the “Corporation”) will be held at 1000 Sherbrooke Street West, Suite 2700, Montreal, Qubec, H3A 3G4, Canada, on February 15, 2018 at 10:00 a.m., local time, for the following purposes:

1. to receive and consider the annual financial statements of the Corporation for the year ended June 30, 2017, the auditor’s report thereon, and the related management discussion and analysis;

2. to fix the number of directors at five;

3. to elect the directors of the Corporation for the ensuing year;

4. to appoint an auditor of the Corporation for the ensuing year and to authorize the directors to fix the auditor’s remuneration;

5. to consider and, if deemed advisable, adopt a special resolution ratifying amendments to the 2012 stock option plan of the Corporation, as amended on December 22, 2017, as to fix a maximum number of common shares of the Corporation issuable upon exercise of stock options;

6. to transact such other business as may properly come before the Meeting or any adjournment thereof.
