TheCannalysts community was correct in the reasons why the cash was reduced (eg Restricted Cash at closing had a minimum $ amount that Nuu could not meet after Avanti purchase). So it was in the purchase agreement.
As per comments to the SA article a revision is forthecoming.

thanks Blue, saw your comments on Twitter. Interesting the pullback was a contractual deficiency after acquiring the remaining 49 percent of Avanti Analytics. Still not understanding the hit against the Nuuvera holders. Wasn't the Avanti acquisition accretive to the Aphria. Thanks Joe B

that is why there are so many terms to be purchase agreement. For whatever reason Nuu thought it was worth buying it in exchange for a $ discount. Sounds like avant other partner could not wait.
Without the numbers I can’t tell. It’d only be a guess.
Any one else is also just speculating.
