That's your first mistake, you should care about the Dec.19 release as the answer lies therein.  In fact, the release you reference refers to the Dec.19 release.

"Currently" and "Aproximately" are key, and perhaps a review of them in the dictionary would be prudent.  Also key is that the deal defintively spells out that Emblem shareholders will get 0.8377 shares of Aleafia for each Emblem share they hold.  End of story.  It's an "ALL-SHARE" deal.  Once again, I must stress that no cash changes hands, so the $173.2 million was just a paper value in a moment in time.  You may want to look up "ALL-SHARE" transaction.
