ICC shares

ICC shares So the way I see it; WAYL retains 51% interest / share of revenue for (only previously owned) WAYL international markets. ICC maintains 49% of interest / share of (WAYL international) revenue + 100% of their own international business. ICC issues 300mm shares to WAYL. Pre deal ICC had 300mm shares outstanding - post deal 600mm shares outstanding. So theoretically WAYL shareholders receive give or take 1 ICC share for every WAYL share they own. This makes every WAYL share worth around 1.40 after the deal closes. market seems to think this isn’t likely to happen judging by our .95 SP.

The way I understand it; We will get 51% of International revenue for our position in WAYL and half (we now own half of ICC shares) of 49% of revenue for ICC shares(WAYL assets only) So WAYL shareholders should get 74.5% of international revenue (previously owned by WAYL) .  We gave up 24.5% of international revenue to get access to 26k pharmacies. I assume WAYL shareholders don’t get any peice of ICC international business.

This doesn’t seem like too high of a price to pay provided I am understanding this correctly.
