Prior to the Acquisition, Mr. Sprott beneficially owned 2,500,000 Shares and 2,500,000 Share purchase warrants, representing approximately 5.8% of the current outstanding Shares on a non-diluted basis and approximately 11.0% on a partially diluted basis assuming exercise of such warrants. After giving effect to the Acquisition, Mr. Sprott beneficially owns and controls 3,426,500 Shares and 2,500,000 warrants representing approximately 8.0% of the issued and outstanding Shares on a non-diluted basis, and approximately 13.1% on a partially diluted basis assuming exercise of all warrants.
