RE:RE:RE:RE:RE:COUNTING EGGS I dont think they need to pay the termination fee if voted down... 

"The Arrangement Agreement includes customary provisions, including non-solicitation, "fiduciary out" and "right to match" provisions as well as a termination fee of $12.5 million payable by Supreme Cannabis to Canopy in certain specified circumstances"
