It is my understanding that regarding Point #1, management is not obligated to report incredible mind-blowing motherload assays within a specific time period either. As long as the mgmt team ensures that none of the information leaks to the marketplace and no insiders take advantage of the information to the detriment of outside shareholders --- they can hold bonanza level information for as long as they want - for any reason.
I also do not believe that they are obligated to ever reveal when this information was first provided to them , however, perhaps stockwatcher or another can comment on this further as per SEC rules?.
Mgmt has sole discretion on when and how they want to inform shareholders of information as long as it does not leak or create insider trading.
If mgmt CANNOT contain the information than they are obligated to halt trading in their stock immediately until a determination is made on releasing info to everyone concurrently.
