Thank you for your email to the VSG group. Given the excellent generic questions you asked, I thought I would respond here on Stockhouse so that all Verde shareholders can access this info if they are interested.
1. Mr. Veloso's current shareholdings
Based on teh most recent SEDI insider information reports Mr. Veloso personally owns 9,451,547 shares which he aquired over the years 2005 through 2021. The highest price he paid was for 4,000 shares bought on the open market in December 2009 at $1.48.
His most recent acquisitions were 399,000 shares at $1.22 per share (received in lieu of accrued salary) and 456,208 shares at $1.00 per share on the exercise of warrants from the 2018 private placement.
His average adjusted cost base for his shares is $0.4951 per share, giving a total cost of $4,679,325. At the closing price today of $1.16, these shares are currently worth $10,963,794. That represents an unrealized capital gain of $6,284,469.
At March 16, 2012 the 2,886,369 shares he had accumulated to that date were valued at $18,617,080 and with an ACB of $671,015 represented an unrealized capital gain of just under $18 million.
So like many long term Verde investors his fortunes have significantly fallen since the heady days of 2012, albeit his current position is not underwater like so many of the idependent investors who paid full price for their shares in 2012 and still have a long haul ahead to get back to simply breaking even.
2. Other shares Mr. Veloso controls or influences
We do not know of the full extent of Verde shares held by other Veloso family members, or entities over which Mr. Veloso has some degree of control or influence. Our cureent estimate is as low as 400,000 shares and as high as 1,000,000 shares in addition to the 9.5 million shares owned directly and disclosed on SEDI.
3. Mr. Veloso stock options
Mr. Veloso currently has 1,992,308 unexercised stock options:
750,000 shares at $1.22 good to March 5, 2031
150,000 shares at $0.40 good to February 14, 2029
1,092308 shares at $0.61 to September 24, 2028
This gives a weighted average exercise price of $0.8238 and would generate $1,641,307 in additional capital for Verde if exercised. This would increase the issued and outstanding shares to just under 52.3 million shares a dilution of about 4% to other shareholders.
The latest 750,000 share stock options carry an escrow provision that remains in effect until the Verde share price trades above $6.45.
