The timing isn't irrelevant- it shows SBM doesn't put shareholders interest as a priority and further indicates they don't want to be held accountable to the shareholders.  

Make no mistake- this is Howard's company and he is going to run it the way he wants and be damned us bothersome shareholders.  Proof is in years of Howard not holding himself accountable to anyone- specially shareholders.
