RE:2 more lawsuits this week!!! E99 -  There are 6 lawsuits with some pointing towards accounts receivable. I'm just waiting for the commerical property owner to file a lawsuit. The liabilities continue to head north.

You'll find below some text from a WMG SEC filing on GEM YIELD BAHAMAS LIMITED and two court cases involving GEM Yield Bahamas versus other companies. GEM is a real gem.

I wonder how one goes about getting a tax shelter account in the Bahamas. And which TSX registered brokerage firms execute buy/sell/short transaction for these off shore accounts? In the end, they'll sell through anonymous to hide the origin of the trade.

A cease trade order doesn't prevent share holders from exercising warrants and options to put money in the treasury. Wouldn't this be cheaper than doing another PP given the warrants and options are already awarded and registered. Then again, maybe more expesnive.

THIS AGREEMENT is made effective as of November______, 2019

 

BETWEEN:

 

(1) Western Magnesium Corporation. a company incorporated under the laws of Delaware, having an office at Suite 900 - 580 Hornby Street, Vancouver, BC, V6C 3B6 (the “Company”);
   
(2) GEM Global Yield LLC SCS, (together with its permitted successors and assigns), a company incorporated under the laws of Luxembourg whose registered office is at 412F, route d’Esch, L-2086 Luxembourg (the “Investor”);
   
(3) GEM Yield Bahamas Limited, a company incorporated in the Bahamas whose principal place of business is at Office of Lennox Paton Corporate Services Limited, Bayside Executive Park, Building 3, West Bay Street, P.O. Box N-4875, Nassau, Island of New Providence, Commonwealth of the Bahamas (“GYBL”); and
   
(4) The persons whose names and addresses are set out in Schedule 2 of this Agreement (the “Share Lenders”).

 

WHEREAS:

 

(B) The Investor wishes to subscribe, on the terms and subject to the conditions set out in this Agreement, for securities of the Company with an aggregate purchase price of up to CDN$210,000,000.
   
(B) The Share Lenders wish, on the terms set out in this Agreement, to lend Common Shares (as defined herein) to the Investor.
