To those who do not get it!

To those who do not get it!So on another board someone stated the decisions are made by the board.  Not sure who said it or why but it is an interesting observation that shows how little retail investors understand about their investment.  

In most cases, decisions are actually made by the management.  Let me explain why!  While shareholders believe they have some kind of control because they can vote a board in or out that is simply not true!  Management puts forth a slate for the board you have a right as a shareholder to vote for or against the slate.  So you are really not voting and the board is answerable to management not you!  Sorry Charlie but that is how real life works.

Yes if alot of things are true you can put forth an alternate board but it is not easy so generally speaking you have a choice to not vote or vote for the slate put forth by the board lol!
