Senior could not bind the Cypress moral entity in whole or in part while non-compliant. Hence, the legality of the POA?? POA not signed by Senior?
When was Senior Pascali's Cypress company not in good standing (non-compliant) and when was the POA signed?
Good luck to All!

Test your knowledge.
Good luck to All!
All sorts of minor reasons why a corp can be in non compliance status like late annual filing, incomplete filings or articles, non up to date licence or permit, insurance polices lapse and so on but that does not mean that there would be a Order to Halt or Operate or no longer a legal corporation ceasing to exist. .
Nonethless, POA was for Pascali senior to junior personally and wouldn't be void because of what you trying to insinuate .
That is not true. A corp can be non compliant for 2 years for failing to file annual report but even then is not an automatica strike off the corp register. During that time the corp can 100% be legal bound .
