My view is that Cunninghsam will keep this going as long as they can to raise whatever $$$ they can on NGTG ie if AMK deal craters, I think thats the end of NGTG as we know it...........

Having said that, if Cunninghsam wants to avoid litigation if this deal does not close, today's TUD NR provides them a potential out aka a material change out.  Its not the strongest argument, but its an argument.  Otherwise AMK will be suing them for the $2.5 million in costs plus potentially the drop in market cap...
