However I don't preclude the possibility that "informal discussions" have already taken place between CG and Spectral, Toray and BH. For DD on Vantive assets, and other reasons ( eg getting a handle on the potential Toray prize globally)
There doesn't have to be a formal offer ( which I agree would require disclosure ) . There could however be the "makings of a potential future buyout" based on some formula ( pencilled on the back of an envelope inside someone's suit jacket). Such a " discussion" or formula could be a function of variables that are yet to be determined. In other words, the parties might agree to use a formula, but the X or y variable and therefor offer price, may be, at least for the moment, indeterminable. This could be sufficient to argue that no formal offer exists. And in fact it doesn't. It's not even a MOI, it's merely an envelope with pencilled scribblings .
Generally a public company that is or has entertained takeover discussions, will disclose the possibility or potential for such discussions happening. But with Spectral being, shall we say, "on the shy side", with no apparent concern for the ST share price, I'm not sure they would do that, in the case I describe.
All speculation on my part of course.
