"Superior Proposals" are coming!?

The lockup agreements are on SEDAR.  I spent some time re-reading these.  Some interesting information pertaining to the provision of "Superior Proposals".  I agree with the thesis that new large shareholder MMAM will have a key role to play here.   They have until April 15th.

Locked up shareholders:
"The  Shareholder  hereby  agrees,  in  its  capacity  as   securityholder,  from  the  date  hereof  until  the   earlier  of:  (i)  the  expiry  date  of   the  Offer,  (ii)  the  date  the  Support  Agreement  is  terminated  in   accordance  with  its  terms,  (iii)  the  date  that  the  Offer  or  the  terms  of  the  Offer  or  the  Support   Agreement are amended in any manner adverse to  the Shareholder, (i v) April 15, 2018, and (v)  the  date  that  a  Superior  Proposal  (as  defined  in  the  Support  Agreement  and  determined  by  the   board  of  directors  of  CanniMed)  has  been  made  for  all  or  substantially  all  of  the  CanniMed   Shares or assets"

In the Directors Circular on encouraging acceptance, it's clear that a "Superior Offer" is a REAL POSSIBILITY.  The exact words are:

"The CanniMed Board has preserved the ability to respond to unsolicited Superior Proposals"

Sorry but it's not a done deal yet.  I have to agree with MA here, there's a possibility of a superior offer.   I'm not saying it's going to happen for sure but there is a chance.   You just never know what will happen until it's done.  Look at all the drama with Newstrike, Cmed and Acb a few weeks ago.

I REALLY hope there's a Superior Offer.  Brent, the CEO of CMED, been this poorest CEO, anyone can drive the value of CMED better than that self serving GOOF! I agree.  I brought up MMAM as well and I'm glad I'm not the only one cheering for our knight in shinning armor! GO MMAM GO!!!!!!!!

Am I missing something here or is the Aurora takeover of CMED already pretty much of a done deal by now? Shouldn't the CMED shareholders be voting on whether they approved of this ACB takeover or not, since I have not yet received anything in the mail to this point in time?

I think the same rule of >2/3 shareholder approval will apply for CMED. And I believe >50% for ACB shareholders to approve. On the CMED side it's a lock IMO. The fact that ACB have 48% locked up there really isn't much chance the offer doesn't go through. Only 18.66% additional shares need to be tendered to make it a lock. The board of directors unanimously supports the takeover ...more

They vote by tendering their shares.   Deal requires 66.67% of all outstanding to pass.

I would call Aurora clever.  What is a question in my mind is what happens if: 1. They don't get the extra 14% tendering their shares 2. They get a Superiod Proposal. I would love to know what MM Asset Management is doing with their 8%+

Caught my mailman trying to fold and stuff the thick package for this merger through my mail slot this morning.  Not having much luck since there were separate documents from both Aurora and CMED in there.  LOL As the documents state, they already have 48% of the CMED shares locked up.  If you include the 3% or 4% that Aurora owns, they should be up to something like 52%. It's there.  Buried like everything else.  You also have to refer to the November Offer for some specifics. I so agree they will most likely get the 66.7% majority given the CEO and Directors are on board.

There will be no superior offer coming.   ACB paid way too much for CMED.   No company could ever justify paying even more.
