(a) Amount beneficially owned:
As of the close of business on January 31, 2024:
| (i) | Modro Holdings LLC (“Modro”) beneficially owned 5,064,909 Common Shares, including 372,000 Common Shares underlying warrants currently exercisable. 1,692,909 Common Shares held by Modro are subject to a pledge in favor of The Bank of New York Mellon as collateral agent for a third partner lender. |
| (ii) | Joseph Pehar may be deemed to beneficially own the Common Shares beneficially owned by Modro.
