Rights being offer for Great Bear Royalties

Sweet deal at .15 for every GBRC you hold. Looks like they will get listed sooner than later.

Looks like it is only applicable to Canadians, I'm buying up all of flashcash's allotment thanks flashy!

According to this PR, it says that they can allow non-Canadians to participate. https://www.newswire.ca/news-releases/great-bear-royalties-corp-announces-rights-offering-853722968.html

Pretty sure it is the right to buy up to the same number of shares in the royalty company that they now own in the royalty company....and then if anyone does not buy shares, those that are left ove may be also available to purchase.  Not sure how they divy those up though. And if they dont get bought, then 3 reallylucky guys, Messrs Robins, Pattison and forgot the other guy, gets to gobble ...more

So they would be paying .15 cents to purchase a share up to the number of shares they owned in the royalty company.............. not GBR new common shares.

Correct, and as Goaweigh mentioned, we all get to participate (at least those that were smart enough to get the royalty shares and not sell like someone threatened to do because they weren't going to be tradable), not just like in a PP. I do suspect they will be listed sooner than a lot of us thought, (not that I care one way or the other, although I'll certainly like to buy some while ...more

Are those of us in the US out of luck in making this purchase?  My royalty shares are held with computershare.  I have received no notice unfortunately.
Comment by Ivorygull on Oct 08, 2020 7:56pm
Looking at the PR that Kobold kindly posted, it seems you may be able to if certain conditions are met. First you have to sell half to me........jk. Its got to do with rules, regulations and if Great Bear Royalty would be breaking any law, or you, in selling shares to you. Read the post.

I'll probably be wrong saying this but I believe this would be why.... Net Smelter Return (NSR) is the net revenue that the owner of a mining property receives from the sale of the mine's metal/non metal products less transportation and refining costs. As a royalty it refers to the fraction of net smelter return that a mine operator is obligated to pay ...more

So if there was say 100,000 ozs produced per year and the price of gold was $1700 US but we got dinged say $700 per oz for the transportation and refining costs, that would be 100,000 x $1000 US. $100,000,000 US x 2% =$2,000,000 US or $2,649,616.75 Can $2,649,616.75 / 13 m shares (round number) = 20 cents per share. If you owned 1000 shares before the rights and the NSR starts you'd get $200 ...more

Forget about the future revenue stream for the time being, they need to raise some money to keep the Co. going and the only way to do that is to issue more stock. They are offering the current shareholders the first right of refusal on the issue, take it or leave it. If you want to retain the same percentage interest in the Co. you need to buy the same amount of stock you now hold and that's ...more

That’s exactly it.  I’m taking the offer. But I’m afraid we will need a few of these money raises before we see any returns on them.  They will raise about 2 million, hopefully that does for a while.

The burn just shouldn't be that high, can't imagine they need more than $ 100,000 a month, can't imagine even needing $ 50,000 a month. Once they get this listed and put out a maiden resource this stock will go up significantly. Don't think $ 1.00 a share or $ 26 Million market cap is out of the question and I could be low by half or maybe even a third or a quarter for goodness ...more

Think about it this way, we are currently adding over one million ounces per week to our resource base.......final numbers will be staggering. Seem like a win win to me. If we think really hard about it, perhaps this is a really, really good sign. Don't go selling your royalties......or shares too cheap. Best S
Comment by Goaweigh on Oct 08, 2020 3:23pm
You have the right to buy up to the same # of Royalty shares that you currently own at a price of 15 cents. You can also offer to buy more but I suspect many shareholders will do that so the amount of extra shares you actually get, if any, will be tiny.

Go to SEDAR and check it out. Sweet deal for the 3 Directors who are part of the stand by agreement....shite I would have done that all day long ! When we initially received GBRC shares, it was a spin-out of a 2% royalty to existing shareholders.  Now they want to issue an equivalent number of shares to raise C$2m for corporate purposes for GRBC: There are currently 13,646,290 Common Shares of GBRC outstanding. If all of the Rights issued under the Rights Offering are validly exercised (or if the Standby Commitment described below is ...more

We also have the right to request to purchase additional stock , the stock that isn't taken up by others, and I suspect plenty of people will do that so the likelyhood of the 3 directors scooping up millions of shares is remote. I'll be surprised if they get any more than their original allotment allows plus some tiny amount of the stock not spoken for . The current shareholders might be ...more

Contact your share holding company and make them aware of it, you could add some info from Great Bear about it. GLA

So, if these new royalty shares have a value of 15 cents, as opposed to the previous RSA’s.shares with a - value, do they become trading shares that can be held in a tfsa.?

Goaweigh:  You're correct.  You can try to buy additional rights if you take your full allocation: Shareholders who fully exercise their Rights will be entitled to subscribe for additional Common Shares, if available as a result of unexercised Rights prior to the Expiry Time, subject to certain limitations set out in GBRC's rights offering circular.
