Medicago USA shall retain the entire right, title and interest throughout the world to each invention conceived or

first actually reduced to practice in the performance of the work under the Technology Investment Agreement

(the ”Subject Invention”), subject to complying with certain conditions, including timely disclosure to DARPA and

filing of patents.

With respect to each Subject Invention, DARPA has been granted a nonexclusive, non-transferable, irrevocable,

paid-up license to practice or have practiced on behalf of the United States the Subject Invention throughout the

world. In addition, DARPA benefits from certain march-in rights, including if DARPA determines that such action

is necessary to alleviate health or safety needs or meet requirements for public use if such needs or requirements are

not reasonably satisfied by Medicago USA. Moreover, DARPA’s consent will be required prior to any transfer of 

the technology developed under the Technology Investment Agreement to foreign firms or institutions taking place

during the term of the agreement or one year thereafter
