SEC Filings for Catalyst

This popped up on a google search using info posted on Catalyst in the past month.  It is a lot of recent SEC filings that discloses a wealth of information on who owns what % of Catalyst, who is in total control as well as information on each of the LP funds as far as how much they say each is worth and what % of the fund does Catalyst own outright as well as much more. Since Catalyst completely controls FEC/CGX and Newton Glassman (75% or more ownership) completely controls Catalyst it appears the fate of ours shares is in his hands. He would surely have to approve any deal on what is likely Catlayst's largest holdings $$ wise at the present time. They say their currently manage just under $4Bil in assets.

I think FEC is owned in Catalyst Fund 4 and Fund 5. They give their estimated value on each of these funds if this site opens and you can access all of their filings including brochures and how they get paid etc. 

It also shows they registered as Investment Advisor in the States, that most of the investors in their funds are in the states and that that they registered as a foreign entity in the state of FL, Gab de Alba has a home in Miami. It also lists his new Fund, "GDA Luna" as somehow connected to Catalyst as an advisor and some info on his new fund 100% owned by him alone using a Miami business address.

Why are you worried about Newton Glassman? Wouldn't he do what's best for Frontera as that is also in his best interests as a large shareholder. So if they sell or sell part I don't think he is going to screw himself with a bad deal.

Worried is surely not the word. I 100% agree with you on his wanting to enhance FEC's value being good for us.  But up until recently, myself and I am sure most other shareholders of FEC/CGX had no idea who Glassman was and that Glassman is the guy controlling Catalyst (75%+ ownership) as well as controlling our fate if you own FEC/CGX shares. I had thought it was de Alba, but he is but a ...more

Question for you or someone who would actually know the legality of the answer. I just like to consider all worst case scenarios. Let's say the drill results are really good, Could Catalyst legally take Frontera Energy private, then sell the company? Would that be advantageous to them and would it be legal? In my short reading it doesn't seem like it would be legally possible as any ...more

I think it highly unlikely if not impossible. With so many moving parts, a traditional sale will be extremely complex.  Catalyst controls about 42% of FEC shares in one (Fund 5) or two of their limited partnership funds. The majority of the investors in their funds are not in Canada, but the US. For some reason, pension funds seem to be the largest fund holders of Fund 5 which I think most if ...more
