SPIN-OFF OF TC ENERGY’S LIQUIDS PIPELINES BUSINESS
 
On October 1, 2024, TC Energy Corporation (TC Energy) announced the completion of the spin-off of its Liquids Pipelines business into South Bow Corporation (South Bow). TC Energy shareholders retained their interest in TC Energy common shares and received a pro rata allocation of South Bow common shares. Each holder of TC Energy common shares generally received 0.2 of a South Bow common share for each TC Energy common share held on the Distribution Record Date of September 25, 2024.
 
CANADIAN TAX INFORMATION
 
Resident Shareholders (as defined in the Management Information Circular dated April 10, 2024) should not realize a capital gain or capital loss as a result of the distribution.

Pursuant to the Arrangement, TC Energy shareholders retained their interest in TC Energy common shares and received a pro rata allocation of South Bow common shares. Under the Income Tax Act (Canada), the adjusted cost base to a TC Energy shareholder should be allocated between the TC Energy common shares and the South Bow common shares distributed pursuant to the Arrangement proportionately based on the relative fair market values of such shares at the time of the Arrangement. The companies believe the allocation set out below is reasonable for Canadian income tax purposes. However, such allocation is not binding on shareholders or the Canadian tax authorities.
 
In connection with the Arrangement, the adjusted cost base to a Resident Shareholder of each TC Energy common share held immediately before completion of the Arrangement may be allocated to the post-Arrangement TC Energy common shares and South Bow common shares as follows:
 
• 91% to a TC Energy common share; and
• 9% to a South Bow common share.
 
Please refer to the sections “Certain Canadian Federal Income Tax Considerations” and “Certain United States Federal Income Tax Considerations” in the Circular for further information regarding the Canadian and United States federal income tax consequences to shareholders as a result of the Arrangement. All of the assumptions, qualifications, and limitations in those sections of the Management Information Circular are applicable to the information contained herein. Do you not undertand the basic concept of ACB???? Each investor will have a unique TRP ACB .... depending on the weighted average of shares bought ...... # bought each time and price paid for each transaction. Thus .... each investor will have a unique SOBO ACB! BUT .... what is constant for all investors is .... 9% of their previous TRP holding is spun off to become the ACB of their new SOBO ...more

Hey DUMBO: When I buy shares over time, I know my ACB...on the 5  companies I own, BNS, TRP, CM,ENB & PPL However DUMBO I was given these shares, I did not buy them over time. Effectively everyone should have the same ACB when they were receive their 20% of the shares.

You really do have your problems with basic math. It's really been notcieable in a number of your posts. The press release makes it really clear that both the new TRP ACB and the SOBO ACB will be derived directly from the orig TRP ACB, I even split it out in simple language with an example to boot and yet you can;t seem to understand it. You should be cautious on calling someone esle DUMBO ...more

Re your worked ACB example: Fantastically clear and straight-forward! If someone cannot grasp what is being handed to them on a platter after all of this ... well then ... just recall the old saying ... "you can't teach some ...more

Hey CSC Always a pleasure to stick up for you. This was a really obvious one.  :-) I expected the TRP share price to climb after the split but I'm really surprised by the SOBO action. A huge congrats to you are your BIG 4949 share buys, and what a great price. Nothing like a $36.7k paper gain in under 3 weeks. I still think it will be interesting to see what happens on Nov 7th. Sarge: Normally TRP announces div increases after the new year begins ... so that the 1st increase kicks in for the Apr 30 dividend. Do you think they will be early this time .... due to circumstances surrounding the reorganization? Cheers!

Hey CSC Good comment. My take is that the TRP management really wants to sell the whole split idea and what a great companyt he new TRP is and will do whatever they can to make it look athat way. That's why I think they will break their normal divy increase cycle and do this next one a quarter early. I guess we'll find out in a coupel weeks. Take her easy   Sarge

You are a real piece of work! I saw your last post and the calcs are correct (and match my post assuming an orig TR PACB of $65) BUT that is different from your earlier post where you said: (emphasis on all investors haivng the same SOBO ACB) I was given these shares, I did not buy them over time. Effectively everyone should have the same ACB when they were receive their 20% of the shares.& ...more

Sarge You r right on this. I did mean to say they will be different based on your orignal ACB.....but lost track of that thought. Oh Well...who said life is a bed of roases...I have broad shoulders....and can take my lumps SOBO is doing awesome and I am hanging on to them for a long time. GLTA
