Prelim Prospectus words on Change of Control

Two interesting things I picked up from the preliminary prospectus:

First, the company is in the midst of doing an analysis of going it alone to sell in the US if they get FDA approval.  Since we don't need a US partner to help fund another clinical trial, it may not be necessary to get a US partner at all.  Much more profit for us.

Second, the prospectus goes into considerable detail on what happens to Berendt's and Olds' compensation contracts if there is a change of control (successful hostile takeover offer).  So someone other than just me thinks this is a strong possibility.

Rube, is it not more likely that the idea of going it alone in the US is a bargainning tactic for partnership discussions than a legitimate course of action? Seems obvious to me. The Bioniche sales force, whatever it consisted of, no longer exists. As far as I know it left the playing field with the sale of AH. Also, as they were never a player in Human Health, I am doubtful as to whether they ...more

Hi rube, agreed that the company is looking at possibly going it alone in the US. The second point you make regarding the arrangement Old's and Berendt have in place in case of new owners is standard procedure. Another important point I got out out of the prospectus is the effort being put into protecting patents,  that indicates that we may have a winner.

The idea of " going it alone" is a complete ruse, and not a very convincing one at that. If you can find me a single employee on the payroll who has overseen a sales staff, let alone signed a single sales contract, in the last 20 years I'd be shocked. Good day Lynch, not sure if this would be considered to be a ruse. We have no idea what they have in mind to accomplish this or if they even will in the end, it says is that they are investigating.  I believe most companies now use third party marketing in many forms, even if they have their own marketing internally. There are many out there so maybe they will choose this route, or not.  ...more

Go ahead and investigate. But don't expect anyone to believe that it is a viable option. Unless I am wrong, the soon to be re named Urocidin sounds like a rather complex product, to be marketed and sold into a rather complex marketplace to serve as a treatment for a terminal disease. I'd be much more comfortable with a marketing partner, with a sales force trained in selling into the ...more

"change of control".  These are standard contract words like "forward looking statement". Looking at alternatives or options for marketing simply makes sense--ie common sense. As for common sense- some of us have it, most on this board do not.
