Managemt Information Circular has been received.

It appears there may be some additional Canadian and USA tax consequences for AXL shareholders in this arrangement.

It appears GXP intents to reach out to the financial markets with a PP which will further dilute our 24.8 % position on this arrangement .

It appears there are many other risks for AXL shareholders on this arrangement.

It appears this arrangement only benefits GXP investors and management including WS and a Director from the side of AXL.

AXL shareholders recommend voting NO for this arrangement.
