Purchase price:  eight cents per flow-through share

 

 

Warrants:  5.05 million share purchase warrants to purchase 5.05 million shares

 

 

Warrant exercise price:  12 cents for a two-year period

 

 

Number of placees:  eight placees

 

 

Insider:  Gary Musil, 50,000 FT

 

 

Pro groups:  two placees, 510,000 FT

 

 

Finder's fee:  PI Financial Corp. -- $30,784.00 and 384,800 finder's warrants that are exercisable into common shares at 12 cents per share for a two-year period

 

Pursuant to Corporate Finance Policy 4.1, Section 1.9(e), the company issued a news release dated Dec. 22, 2020, announcing the closing of the private placement and setting out the expiry dates of the hold period(s).
