Abbotsford, BC - TheNewswire - December 1, 2020 - Gatekeeper Systems Inc. ('Gatekeeper' or the 'Company') (TSXV:GSI) (OTC:GKPRF) (FSE:1GK) a leading provider of intelligent video solutions for public transport and smart cities, provides an update on its previously announced non-brokered private placement (the "Financing").

Completion of the Financing required additional processing time beyond December 1, 2020, being the final closing date approved by the TSX Venture Exchange, and the Financing did not close. The processing delays were outside of the Company's control. The subscribers to the Financing were unsolicited by the Company and have notified the Company of their continued interests in completing a financing in the Company. The Company will consider such financing interests if, and when, such financing interests can be closed without delay.

The Company will release its audited financial results prior to December 29, 2020 for the fiscal year ended August 31, 2020. For the nine months ended May 31, 2020 the Company reported revenues of $12.6 million, gross profit of $5.5 million, net income of $1.4 million, and working capital of $7.7 million. In July 2020, the Company secured a $3 million credit facility with TD Bank which is currently not utilized.

Lastly, when it appears "too good to be true", better do your due diligence on the "investors".  Not disclosing who they were is unforgiveable. Don't forget how they extended the size of the offering 2X, seems like it was an apparent move to extend the time to sell shares at an artificial elevated price level.  TSXV needs to have a look at this, they should "

In a nut shell Doug is telling them, "get your $hit together and stop wasting my time."  I think the share price will bounce back after year end financials are released. There will probably be another sell off tomorrow but it will be short lived.

Here's somehing that happened before - the NEWS shows as being released on stockhouse 12 hours ago which we know did not happen . i also checked Sedar at 6PM EST. In fact , it is still not posted at sedar. Released at 7.12 pm EST on TMX. Not impressed by this. Simultaneous filings should be possible.

That is a frequent fopah on Stockhouse's part. They seem to have a problem determining a.m. and p.m. on their clock. That "12 hours ago" message has happened many, many times over the past few years.

I wouldn't trust Stockhouse time. I received the NR a minute after it was published by Newswire...It would appear there was a leak based on the trading...in my opinion. I'm speechless...never heard of such a thing before.  Didn't think Doug was this amateur.  This financing wasn't closing long before he even put up a deadline.  It was over a month after the
