The vote to the share holders should be only two choices.

A  } we close shop and all share  holders get .23 less a couple bucks for accounting and lawyers

B  }  you get a  .10 taxable dividend and trust us we will keep  .13 [$23,000,000 ] and will go else where to play.

could be oil  in Africa, gold in Mongolia, bananas in Congo, rare fossils in Alberta, cookies in the cookie jar.

or what ever other stupid idea we come up with, so we can keep drawing salaries till all the money is gone. Then we close shop.

unfortunately there is another negative implication, i believe.  if we got $.23, the stock would be near $.23 and stockholders could sell the stock and have a capital gain or a capital loss.  With this $.10 special dividend, we are stuck with a different type of tax liability.  different tax rates. oh well.....
