I think the reference to having Court approval is probably relevant if the buyout is executed pursuant to a Plan of Arrangemeng which would be quite possible here given the clear control of the insideF&F group . This allows expedited implementation.

Also, based on the functions of the Special Commitee, it is difficult for me to believe that they would have gone to the trouble of setting that up if there was not a deal on the table.
